Terms & Conditions IOI

Welcome to PT Inovasi Otentik Indonesia (“IOI”, “we”, “our”, “us”).

These Terms & Conditions govern your use of our website, products, and services. By accessing or using IOI’s website or services, you agree to comply with and be bound by these Terms.

If you do not agree to these Terms, please do not use our services.

1. Definitions

  • “Services” refers to all products, software, and solutions provided by IOI, including but not limited to web development, mobile applications, AI solutions, IoT integration, and consulting.
  • “User”, “You” refers to any individual or entity using IOI’s website or services.
  • “Agreement” refers to these Terms & Conditions.

2. Use of Services

  • You agree to use our services only for lawful purposes and in accordance with applicable laws.
  • You are responsible for providing accurate and up-to-date information when engaging with our services.
  • You must not misuse our services, including attempting to access them without authorization, introducing harmful software, or disrupting operations.

3. Intellectual Property

  • All content, designs, code, trademarks, and logos provided by IOI remain the property of IOI unless otherwise agreed in writing.
  • You may not reproduce, distribute, or use any IOI materials without our prior written consent.
  • Custom software developed by IOI is licensed, not sold, unless otherwise specified in a separate contract.

4. Payment Terms

  • All payments must be made according to the terms outlined in your proposal, quotation, or invoice.
  • Late payments may incur interest charges as permitted by law.
  • Any additional work outside the agreed scope will be subject to separate charges.

5. Warranties and Disclaimers

  • IOI provides its services “as is” and “as available” without warranties of any kind, unless explicitly stated in a written agreement.
  • We do not guarantee that services will be error-free or uninterrupted.
  • Any third-party services or integrations are subject to the terms of their respective providers.

6. Limitation of Liability

  • IOI will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
  • Our total liability in any matter arising from these Terms will not exceed the total amount you paid to IOI for the service in question.

7. Confidentiality

  • Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of business.
  • Confidentiality obligations will survive the termination of this Agreement.

8. Termination

  • Either party may terminate a service agreement in accordance with the termination clause in the contract.
  • Upon termination, all outstanding payments become immediately due.

9. Changes to These Terms

We may update these Terms & Conditions at any time. Updates will be posted on this page with a revised “Effective Date”. Continued use of our services after changes means you accept the updated Terms.

10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Indonesia.
